    Please read these terms together with our Privacy Policy (together, the “Terms”) before you use any content, functionality or services offered on or through unifylegal.com (together, the “Site”). If you do not agree to these Terms, you must not access this Site.

    Accepting Terms. By using the Site, you agree with Unifylegal Inc. (“Unify”, “we” or “us”) to be bound by these Terms. These Terms govern your access to and use of the Site. The Site is offered to users who are 18 years of age or older. By using this Site, you represent that you are of legal age to form a binding contract with Unify.

    Changes to Terms. We may revise and update these Terms from time to time. All changes are effective immediately when we post them, and apply to all use of the Site Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. We will notify you by email of any material changes to the Terms.

    The Service. Unify helps entrepreneurs and small to mid-sized companies (“Client Users”) find, communicate with, manage and pay external legal counsel in foreign countries (“Lawyer Users”). Lawyer Users are independent professionals and are neither employees nor independent contractors of Unify. Lawyer Users offer their services directly to Client Users. A Client User registers on the Site and submits a request for a proposal (“RFP”) for help with specific legal work. Multiple Lawyer Users then each respond to the RFP by providing a proposal of the scope and cost of doing such legal work (“Proposal”). The Client User then selects its chosen Proposal and engages the relevant Lawyer User directly (“Engagement”). The Proposal will govern the attorney-client relationship between the Client User and Lawyer User unless they subsequently agree in writing to something different. Unify is not a party to any contract formed between a Client User and a Lawyer User.

    Unify is not a law firm and does not offer legal advice or representation, and use of our Site does not create an attorney-client relationship. Unify does not select or endorse Lawyer Users for Client User work. We use reasonable efforts to verify that Lawyer Users are licensed, but we do not guarantee or represent to their competence, quality or qualifications, and we are not liable for their behavior. Unify also does not guarantee payment by a Client User.

    Payment. All payments through our Site or other transactions for the sale of services formed through the Site or as a result of your visit to the Site are governed by the following terms.

    Legal fees accrue to Lawyer User, not Unify. Unify neither charges nor receives any legal fees. We expect to charge a Client User a transaction fee to facilitate payment for each Engagement (“Transaction Fee”), but we do not provide or charge for legal services. All legal fees are paid to the Lawyer Users. Lawyer Users must receive payment through the Site for any Engagement. If a Lawyer user receives payment for an Engagement outside of the Site, we will terminate their account. It is just not a cool thing to do.

    Once a Lawyer User notifies Unify that an Engagement is complete (“Payment Notice”), the Client User hereby authorizes us to charge the Client User’s account for the amount agreed in the Proposal unless the Client User notifies us in writing within five business days from any such Payment Notice. The Client User further authorize us to charge its chosen method of payment the agreed Transaction Fee plus any other payment method specific charges. You are responsible for any fees and taxes associated with an Engagement or specific payment method. Unify will provide the Client User with an invoice each time it charges a Transaction Fee.

    Additional terms and conditions may also apply to specific portions, services or features of the Site. We will notify you in writing of any such terms, which are hereby incorporated by reference into these Terms.

    Accessing the Site and Account Security. We may withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion without notice. We may not keep its contents up-to-date. We will not be liable if for any reason all or any part of the Site is unavailable or out of date at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users, including registered users.

    You are responsible for: (a) making all arrangements necessary for you to have access to the Site; and (b) ensuring that all persons who access the Site through your internet connection are aware of these Terms and comply with them.

    To access the Site or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Site that all the information you provide on the Site is correct, current and complete.

    You will keep any user name, password or other piece of information created as part of our security procedures confidential. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

    Intellectual Property Rights. The Site and its entire contents, features and functionality, are owned by Unify, its licensors or other providers of such material and may be protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

    You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Site, except in the normal course procurement of services via the Site.

    If you breach these Terms, you must, at our option, return or destroy any copies of the materials you have made from the Site. No right, title or interest in or to the Site or any content on the Site is transferred to you, and all rights not expressly granted are reserved by Unify. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws.

    Prohibited Uses. You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site (a) in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); (b) in any fraudulent way; or (c) in any way outside the normal course intended use of the Site.
    User Contributions. The Site may contain feedback or other message services that allow users to publish or transmit to other users or other person's content or materials on or through the Site. All such contributions will be considered non-confidential and nonproprietary.
    You understand and acknowledge that you are responsible for any such contributions you submit or contribute, and you have full responsibility for such content, including its legality, reliability, accuracy and appropriateness. Such contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations.

    We are not responsible, or liable to any third party, for the content or accuracy of any contributions posted by you or any other user of the Site.

    Reliance on Reviews and Other Information Posted. The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents.

    This Site may include content provided by other users and third parties, including Client User reviews about Lawyer Users. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Unify, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Unify. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

    Information About You and Your Visits to the Site. All information we collect on this Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

    Linking to the Site and Social Media Features. You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part without our express written consent.

    Links from the If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We may have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party Sites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such Sites.

    Geographic Restrictions. The owner of the Site is based in the state of Utah in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the Utah. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside of Utah, you do so on your own initiative and are responsible for compliance with local laws.

    Disclaimer of Warranties. You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet, the Site, or any Lawyer User, or sent by us to you by email, will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. We will not be liable for any loss or damage caused by a denial-of-service attack, virus or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site.

    Your use of the Site is at your own risk. The Site is provided “as is” and “as available” basis, without any warranties of any kind, either express or implied. Neither Unify nor any person associated with Unify makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy or availability of the Site or any service or payment promised by a Client User or Lawyer User in any Engagement (a “Non-Unify Service”). Without limiting the foregoing, neither Unify nor anyone associated with Unify represents or warrants that the Site will be accurate, reliable, error-free or uninterrupted, that defects will be corrected, that our Site is free from viruses or other harmful components or that the Site or any Non-Unify Service will otherwise meet your needs or expectations.

    Unify hereby disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to any warranties of merchantability, non-infringement and fitness for particular purpose.

    The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

    Limitation on Liability. In no event will Unify, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in in connection with your use, or inability to use, the Site or any services obtained through the Site including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

    The foregoing does not affect any liability which cannot be excluded or limited under applicable law.

    Indemnification and Exculpation. You agree to defend, indemnify and hold harmless Unify, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site’s content, services and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

    You agree further that you will not bring any claims against Unify for your use of the Site, and if you have a dispute with one or more Users, you release Unify from damages, claims and demands of every kind arising out of or in connection with such disputes.

    Governing Law and Jurisdiction. All matters relating to the Site and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Utah without giving effect to any choice or conflict of law provision or rule (whether of the State of Utah or any other jurisdiction).

    Any legal suit, action or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Utah, in each case located in the City of Provo and County of Utah, except as provided below in this Agreement. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

    Arbitration. Either Party may submit any disputes arising from the use of these Terms or the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Utah law. Prior to that, however, you must have at least one conference call or video chat with Unify and the other party to the Engagement at the same time and attempt to resolve the matter in good faith.

    Limitation on Time to File Claims. Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

    Waiver and Severability. No waiver of by Unify of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Unify to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

    If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

    Entire Agreement. The Terms, Privacy Policy and Copyright Policy constitute the sole and entire agreement between you and Unify with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site.
